VanEck Alpha Fund
Executive Summary
The Investment Team believes that technological innovation, spanning AI, blockchain, tokenization and digital assets, will be among the most powerful drivers of value creation over the next decade, and that the leading participants in, and beneficiaries of, that innovation can be identified through rigorous fundamental research. There are dozens of publicly traded global equities and thousands of investable, liquid tokens (with a combined market capitalization in the trillions of dollars) that are building, adopting or benefiting from these technologies.
VanEck Alpha Fund is primarily a liquid fund, and investment objective is to provide long-term capital appreciation by investing, on a wrapper-agnostic basis, in (i) technology and technology-related companies ("Technology Companies") and (ii) Digital Assets and blockchain- and crypto-related opportunities.
"Technology Companies" is defined broadly to mean any issuer or enterprise that the Investment Team, in its discretion, believes is engaged in, enables, is enabled by, advances, is disrupted by, competes with, is exposed to, or is reasonably expected to benefit from or contribute to technology, technological innovation, blockchain, market infrastructure, science, research and development, data or innovation - in any field, industry, sector or geography, and at any stage of development, from early-stage private enterprises to large-capitalization public companies (whether or not any such benefit, contribution or effect is ultimately realized).
"Digital Assets" means digital assets such as cryptocurrencies, protocols, stablecoins, digital currencies, cryptocommodities, digital coins, altcoins, decentralized application and protocol tokens, blockchain-based assets, cryptoassets and other cryptofinance instruments based on or related to blockchain, distributed ledger or similar technologies, including tokens and tokenized instruments, whether or not constituting securities.
Investments in Technology Companies and/or Digital Assets may each, individually or together, constitute up to 100% of the Fund's portfolio. The Fund also intends to seek additional yield through staking solutions and Digital Asset lending, including through DeFi protocols. Notwithstanding this primary focus, the Investment Team may also invest a portion of the Fund's assets on a sector-agnostic and opportunistic basis, including in special situations, whether or not related to technology or Digital Assets; such non-core investments will not exceed approximately 20% of the Fund's net asset value, measured at the time each investment is made. The Fund will not be required to dispose of any investment, or to rebalance its portfolio, if this percentage is subsequently exceeded as a result of market movements, appreciation, depreciation, withdrawals or other events not within the Team's control.
For the avoidance of doubt, at the time of investment and thereafter, the contribution of technology-, blockchain-, stablecoin- or tokenization-related factors to an issuer's or asset's valuation or to the Fund's returns may be de minimis or zero, and the Fund may acquire, hold or dispose of any investment irrespective of whether any related thesis is or becomes realized.
There can be no assurance that the Fund will achieve its objective or that substantial losses will not be incurred.
